These Terms of Service (“Terms”) govern your access to and use of Right Life, including any Right Life website, m-web, web-app and mobile application (collectively referred to as the “Platform”), and any videos, information, text, graphics, photos or other materials uploaded, downloaded or appearing on the Services (collectively referred to as “Content”).

RightLife, an initiative with an all-inclusive approach towards improving health and wellness every day. RightLife will cater to multiple dimensions of wellness:

MoveRight: A combination of ancient practices like yoga and tai chi with machine learning aided tools to help users improve flexibility and balance.

SleepRight: This will help users create a peaceful and relaxing environment for better sleep and includes unique audio aids and sleep tracking features.

ThinkRight: Attain peace of mind and practice mindfulness with research-backed content and traditional practices like meditation and self-actualization.

EatRight: This module will help users adopt balanced eating habits and make healthier choices with reliable information and a dynamic learning system that creates personalized diet plans.

My Health: A 360° health solution that uses AI/ML tools and personal health tracker data to highlight critical health risks and provide personalized plans for improving overall health.

E-Store: A curated marketplace offering premium wellness products across self-care, equipment, supplements, and activewear, seamlessly integrated to complement users personalized health journey (for detail T&C of our E-Store, please refer Right Life E-Store Terms & Conditions on our App/Web).  

This document is an electronic record in terms of Information Technology Act, 2000 and rules thereunder as applicable and the provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures. Please read the Terms of Use and Privacy Policy (together hereinafter referred to as “Agreement”) carefully before using or registering on the Platform or accessing any material, information or Platform Services through the Platform. Your access to or use of the Platform (even when You do not avail of or provide any services on the Platform) or booking, purchase or availment of the Platform Services shall signify your acceptance of the Terms of Use and Privacy Policy and Your agreement to be legally bound by the same. These Terms of Use do not alter in any way the terms or conditions of any other written agreement you may have with the Platform for other services.Your access to and use of the Services is conditioned on your acceptance of and compliance with these Terms. By accessing or using the Services you agree to be bound by these 1) Terms of Services and 2) Privacy Policy. If you do not agree to any of these terms, or Privacy Policy, please do not use the Service.Although we may attempt to notify you when major changes are made to these Terms of Service, you should periodically review the most up-to-date version on the website of www.Rightlife.com. Right Life, in its sole discretion, may modify or revise these Terms of Service and policies at any time, and you agree to be bound by such modifications or revisions. Nothing in these Terms of Service shall be deemed to confer any third-party rights or benefits.

• These Terms of Service apply to all users of the Service, including users who are also contributors of Content on the Service. “Content” includes the text, comments, posts, software, scripts, graphics, photos, sounds, music, videos, audiovisual combinations, interactive features and other materials you may view on, access through, or contribute to the Service. The Service includes all aspects of including but not limited to all products, software and services offered via the Right Life website or mobile application.
• The Service may contain links to third party websites that are not owned or controlled by Right Life. Right Life has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. By using the Service, you expressly relieve Right Life from any and all liability arising from your use of any third-party website. Accordingly, we encourage you to be aware of and to read the terms and conditions and privacy policy of Right Life.
  
• In order to access some features of the Service, you will have to create a Right Life Account. You shall never use another’s account without permission. When creating your account, you must provide accurate and complete information. You must notify Right Life immediately of any breach of security or unauthorized use of your account.
• Although Right Life will not be liable for your losses caused to you by any unauthorized use of your account, you may be liable for the losses of Right Life or others due to such unauthorized use.
• Applicability: These Terms of Use applies to all the users of the Platform including:
  
  • Any supplier of goods / services / Technology Platforms / Contents (whether an individual, professional or an entity, or similar institution) on the Platform, directly or indirectly, including designated / authorised associates, employees, partners and practitioners thereof (“Partner”, “You”, “Your” or “Users”).
  • An individual who accesses and registers on the Platform and/or places a service request on the Platform (“End-User”, “You”, “Your” or “Users”); or
    
  • Otherwise a user or visitor of the Platform (“You” “Your” or “Users”).
• General Use of the Service – Permissions and Restrictions : “Right Life” hereby grants you permission to access and use the Service as set forth in these Terms of Service, provided that:
  
  • You agree not to distribute in any medium any part of the Service or the Content without Right Life’s prior written authorization, unless Right Life makes available the means for such distribution through functionality offered by the Service (such as the Embeddable Player).
  • You agree not to alter or modify any part of the Service.
    
  • You agree not to access Content through any technology or means other than the video playback pages of the Service itself, the Embeddable Player, or other explicitly authorized means Right Life may designate.
  • You agree not to use the Service for any of the following commercial uses unless you obtain Right Life’s prior written approval:
    
    • the sale of access to the Service;
    • the sale of advertising, sponsorships, or promotions placed on or within the Service or Content; or
      
    • the sale of advertising, sponsorships, or promotions on any page of an ad-enabled blog or website containing Content delivered via the Service, unless other material not obtained from Right Life appears on the same page and is of sufficient value to be the basis for such sales.
  • You agree not to use or launch any automated system, including without limitation, “robots,” “spiders,” or “offline readers,” that accesses the Service in a manner that sends more request messages to the Right Life servers in a given period of time than a human can reasonably produce in the same period by using a conventional on-line web browser. Right Life reserves the right to revoke these exceptions either generally or in specific cases. You agree not to collect or harvest any personally identifiable information, including account names, from the Service, nor to use the communication systems provided by the Service (e.g., comments, email) for any commercial solicitation purposes. You agree not to solicit, for commercial purposes, any users of the Service with respect to their Content.
  • In your use of the Service, you will comply with all applicable laws.
  • Right Life reserves the right to discontinue any aspect of the Service at any time without giving any reasons for such discontinuance.
  • Your Use of Content – In addition to the general restrictions herein, it may be noted that any information, text links, graphics, photo, videos or any other materials or arrangement of material uploaded, downloaded or appearing on the Services (“the Content”) shall become the property of Right Life.

The Content on the Service, and the trademarks, service marks and logos (“Marks”) on the Service, are owned by or licensed to Right Life, subject to copyright and other intellectual property rights under the law.

• Content is provided to you on an “AS IS” basis. You may access Content for your information and personal use solely as intended through the provided functionality of the Service and as permitted under these Terms of Service. You shall not download any Content unless you see a “download” or similar link displayed by Right Life on the Service for that Content. You shall not copy, reproduce, make available online or electronically transmit, publish, adapt, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any Content for any other purposes without the prior written consent of Right Life or the respective licensors of the Content. Right Life and its licensors reserve all rights not expressly granted in and to the Service and the Content, Features, Subscription, and platform.
• You agree not to circumvent, disable or otherwise interfere with security-related features of the Service or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Service or the Content therein.
  
• You understand that when using the Service, you will be exposed to Content from a variety of sources, and that “Right Life” is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such Content. You further understand and acknowledge that you may be exposed to Content that is inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against “Right Life” with respect thereto, and, to the extent permitted by applicable law, agree to indemnify and hold harmless “Right Life”, its owners, operators, affiliates, licensors, and licensees to the fullest extent allowed by law regarding all matters related to your use of the Service.
• Our Services are not directed to persons under 13. If you become aware that your child has provided us with personal information without your consent, please contact us. If Right Life becomes aware that a child under 13 has provided us with personal information, Right Life shall take steps to remove such information and terminate the child’s account.
• Your Content and Conduct As a Right Life account holder you may submit texts, likes and user comments. You understand that Right Life does not guarantee any confidentiality with respect to any Content, texts & comments you submit.
  
  • You shall be solely responsible for your own Content, texts & comments and the consequences of submitting and publishing your Content, texts & comments on the Service. You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish Content, texts & comments you submit. You pursuant to these Terms of Service, license to Right Life all patent, trademark, trade secret, copyright or other proprietary rights in and to such Content for publication on the Services submitting Content to Right Life, you hereby grant Right Life a worldwide, non-exclusive, royalty-free, sub-licensable and transferable license to use, reproduce, distribute, display, publish, adapt, make available online or electronically transmit, and perform the Content in connection with the Service and Right Life‘s (and its successors’ and affiliates’) business, in any media formats and through any media channels. You also hereby grant each user of the Service a non-exclusive license to access your Content through the Service, and to use, reproduce, distribute, display, publish, make available online or electronically transmit, and perform such Content as permitted through the functionality of the Service and under these Terms of Service. The above licenses granted by you in user comments you submit are perpetual and irrevocable.
  • You further agree that Content you submit to the Service will not contain third party copyrighted material, or material that is subject to other third party proprietary rights, unless you have permission from the rightful owner of the material or you are otherwise legally entitled to post the material and to grant Right Life all of the license rights granted herein.
    
  • You further agree that you will not submit any Content or comment etc. contrary to applicable local, national, and international laws and regulations.
  • We shall not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications that may be posted on the Service or endorse any opinions expressed on the Service.
  • Offensive Content (UGC): You may not use this App to send Messages/content that are offensive or prohibitive. If you feel any message/content is offensive either you can use “Report Abuse/Flag” the content or use “Feedback” section within the application or use the ‘Contact’ button on our website Right Life to send us an email describing the issue. Our moderation team will act on the concern within 1 working day. Moderation team may block such users who are not complying to the usage terms and guidelines.
• Right Life does not endorse any Content/comment etc. submitted to the Service by any user or other licensor, or any opinion, recommendation, or advice expressed therein, and Right Life expressly disclaims any and all liability in connection with Content. Right Life does not permit copyright infringing activities and infringement of intellectual property rights on the Service, and Right Life will remove all Content, if properly notified that such Content infringes on another’s intellectual property rights. Right Life reserves the right to remove Content without prior notice.
• Suspension and Termination Policy: Right Life will terminate a user’s access to the Service if, under appropriate circumstances, the user is determined to be a repeat infringer.
  
  • Right Life reserves the right to decide whether User or User’s Content, Comments, Text violates these Terms of Service for reasons other than copyright infringement, such as, but not limited to, pornography, obscenity, or excessive length. Right Life may at any time, without prior notice and in its sole discretion, remove such Content and/or terminate a user’s account for submitting such material in violation of these Terms of Service.
  • The Terms of Use will continue to apply until terminated by either You or the Company as set forth below. If You object to the Terms of Use or are dissatisfied with the Platform, your only recourse is to (i) close Your Account on the Platform; and/or (ii) stop accessing the Platform.
    
  • The Company may delist You or block Your future access to the Platform or suspend or terminate your Account if it believes, in its sole and absolute discretion that you have infringed, breached, violated, abused, or unethically manipulated or exploited any term of these Terms of Use or anyway otherwise acted unethically. Notwithstanding anything in this clause, these Terms of Use will survive indefinitely unless and until the Company chooses to terminate them.
  • If You or the Company terminate Your use of the Platform, the Company may delete any Content or other materials relating to Your use of the Platform Services and the Company shall have no liability to You or any third party for doing so. However, your transactions details may be preserved by the Company for purposes of tax or regulatory compliance.
  • You shall be liable to pay for any Platform Services that you have already ordered till the time of termination by either party whatsoever.
• Copyright Policy: As part of Right Life’s copyright policy, “Right Life” will terminate user access to the Website and its application if a user has been determined to be an infringer. An infringer is a user who has been notified of infringing activity.
  
• Warranty Disclaimer: YOU AGREE THAT YOUR USE OF THE SERVICES SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, RIGHT LIFE, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS AND AGENTS EXCLUDE ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF. We do not in any way guarantee or warrant the accuracy, completeness, or usefulness of any content found in any Application. The use of any information provided on this Application or Website made by Right Life is solely at your own risk. • While our workout and nutrition recommendations consider several factors specific to each individual, including anthropometric data, fitness goals and lifestyle factors, we are not a medical organization, and our recommended workout plans or Meal Plans, and specific exercises and food items should not be misconstrued as medical advice, prescriptions, or diagnoses.

• Indemnity: To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Right Life, its parent corporation, officers, directors, employees, Partners and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content & Service caused damage to a third party. It may be noted that this indemnity clause shall survive even if you cease to be the User of Right Life.
  
• Ability to Accept Terms of Service: You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service, and to abide by and comply with these Terms of Service. In any case, you affirm that you are over the age of 13, as the Service is not intended for children under 13. If you are under 13 years of age, then please do not use the Service. We provide these Terms of Service with our Service so that you know what terms apply to your use. You acknowledge that we have given you a reasonable opportunity to review these Terms of Service and that you have agreed to them.
  
• Assignment: These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Right Life without restriction.
  
• General: You agree that: (i) the Service shall be deemed solely based in India, unless officially launched by Right Life in other counties; and (ii) the Service shall be deemed a passive website that does not give rise to personal jurisdiction over Right Life, either specific or general, in jurisdictions other than India. You agree that the laws of India will apply to these Terms of Service. In addition, for any dispute arising out of or related to the Service, the parties consent to personal jurisdiction in, and exclusive venue of, the courts in Pune, India. These Terms of Service, together with the Privacy Notice and any other legal notices published by Right Life on the Service, shall constitute the entire agreement between you and Right Life concerning the Service. If it turns out that a particular term is not enforceable, this will not affect any other terms. No waiver of any term of this Terms of Service shall be deemed a further or continuing waiver of such term or any other term, and Right Life’s failure to assert any right or provision under these Terms of Service shall not constitute a waiver of such right or provision.
  
• User Account, Password, and Security: In order to avail the Platform Services (as defined hereinafter) on the Platform, You will have to register on the Platform by providing details about Yourself, including Your name, address, contact details and such other details as may be required on the Platform and create an account (“Account”).
  

You shall ensure and confirm that the Account information provided by You is complete, accurate and up-to-date. If there is any change in the Account information, You shall promptly update Your Account information on the Platform/App. If You provide any information that is untrue, inaccurate, not current or incomplete (or becomes untrue, inaccurate, not current or incomplete), or if the Company has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, the Company has the right to suspend or terminate Your Account and refuse any and all current or future use of the Platform (or any portion thereof) at its discretion, in addition to any right that the Company may have against You at law or in equity, for any misrepresentation of information provided by You.

You will be responsible for maintaining the confidentiality of the Account information and are fully responsible for all activities that occur under Your Account. You agree to (a) immediately notify the Company of any unauthorized use of Your Account information or any other breach of security, and (b) ensure that You exit from Your Account at the end of each session. The Company cannot and will not be liable for any loss or damage arising from Your failure to comply with this provision. You may be held liable for losses incurred by the Company or any other user of or visitor to the Platform due to authorized or unauthorized use of Your Account as a result of Your failure in keeping Your Account information secure and confidential.
Use of another User’s Account information for availing the Platform Services is expressly prohibited.  

Payments Services: All payments in respect of the Platform Services or Subscriptions shall be made to the Company through the Platform. To the extent permitted by applicable law and subject to the Company’s Privacy Policy, you acknowledge and agree that the Company may use certain third-party vendors and service providers, including payment gateways, to process payments and manage payment card information.  

In order to make payments online, You undertake to use a valid payment card or bank details or third party wallets or details required for any other mode of payment (“Payment Details”) with the authority to use the same, to have sufficient funds or credit available to complete the payment on the Platform in good standing. By providing the Payment Details, You represent, warrant, and covenant that:
(1) You are legally authorized to provide such Payment Details;
(2) You are legally authorized to perform payments using such Payment Details; and
(3) such action does not violate the terms and conditions applicable to Your use of such Payment Details or applicable law. You agree that You are responsible for any fees charged by Your mobile carrier in connection with Your use of the payment services through Your mobile. The Company shall use the Payment Details as described in the Company’s Privacy Policy .You may add, delete, and edit the Payment Details You have provided from time to time through the Platform.  

The payment receipt for completion of a transaction shall be provided by the respective Vendors and the transaction summary shall be provided by the Company, the payment receipt and transaction summary shall be made available on the Platform and also sent to your registered email address. Company collects the payment on behalf of the respective Vendor, and eventually settles the same.

Except to the extent otherwise required by applicable law, the Company is not liable for any payments authorized through the Platform using Your Payment Details. Particularly, the Company is not liable for any payments that do not complete because:
(1) Your payment card or bank account or third party wallet does not contain sufficient funds to complete the transaction or the transaction exceeds the credit limit in respect of the Payment Details provided;
(2) You have not provided the Company with correct Payment Details;
(3) Your payment card has expired; or
(4) circumstances beyond the Company’s control (such as, but not limited to, power outages, interruptions of cellular service, or any other interferences from an outside force) prevent the execution of the transaction.

Fees, Charges and Subscriptions: Any Content or Subscription Service membership may start with a free trial. The free trial period for any subscription will last for the period of time specified when you signed up or offered by Right Life. Free trials may not be combined with certain other offers, as specified. If you begin your subscription within a free trial, we may begin billing You for periodical membership fees at the time of subscription purchase or at the end of the free trial period unless you cancel your membership prior to the end of the free trial period, at our sole discretion.
You agree to pay for all fees and charges incurred while using the Content or Subscription and the Platform Services. Additional taxes or third party charges may apply.

You may be offered (a) pay per session; (b) subscription options, which could be monthly, quarterly, half yearly, annual, recurring, non-recurring subscription options. For the purposes of our weekly, monthly and yearly subscriptions, a week constitutes 7 calendar days, a month constitutes 30 calendar days and a year constitutes 365 calendar days.

Non-recurring subscription(s) are non-cancellable. However, You may cancel your recurring subscription(s) at any time by going to your Account Settings and cancelling your subscription before the respective renewal date to avoid billing of the next period’s subscription fee to the Payment Detail you have provided. Refunds cannot be claimed for any partial-term subscription period.

Any promotion code or offer provided may not be used in conjunction with any other promotion code or offer, past or present. Introductory offers are only available to new users of the Platform, except where expressly stated otherwise. Previous users, including those having only booked / utilised trial services, or trial users of the Platform do not qualify as new users. No promotion code or discount will apply to any services / products unless otherwise stated on the Platform. Unless otherwise set forth in the terms of any promotion, all pricing promotions or discounts will apply to the initial period of the subscription, and any renewals will be charged at the non-discounted rate for the type of subscription or membership purchased.

• Cancellation & Refund Policy: Your subscription plan will automatically renew through your App store account. Subscriptions may be managed by the user and auto-renewal may be turned off by going to the user’s Account Settings after purchase. Your plan subscription cancellation request will be effective from the next billing cycle. After cancelling your subscription, you will be able to use your subscription for the remaining days that you have already paid for. When your subscription expires, it will not be renewed. Cancelling your subscription will not retroactively refund subscription payments.
  
• Communications: You hereby expressly agree to receive communications by way of SMS, App Notifications and/or e-mails from the Company, Vendors and other third parties relating to the Platform Services provided through the Platform. You can unsubscribe / opt-out from receiving communications through SMS, and e-mail anytime by e-mailing to support@rightlife.com or contacting our Grievance Officer. However, this may limit the extent of Platform Services that you can avail.
